Regular Column | A comprehensive review of misuse of business loans is imminent… voluntary correction is effectively the last opportunity

Attorney Seo In-seok of Jinheon Law Firm recently addressed the tax and criminal risks associated with the misuse of business loans, along with corresponding response strategies, in a column.

Regarding the National Tax Service’s decision to grant a voluntary correction period until June 30, he analyzed that “while it may appear to be a measure encouraging taxpayers’ voluntary compliance in form, in substance it is closer to a prior warning ahead of a comprehensive review.”

He further explained, “The government has consistently expressed its intention to strengthen investigations into improper lending. This measure can be seen as the final stage of preparation before full-scale investigations begin.”

In particular, he emphasized that using business loans for purposes other than their intended use should not be treated merely as an administrative violation. Attorney Seo pointed out, “If there is a discrepancy between the stated use of funds submitted at the time of the loan and the actual use, it may constitute deception against financial institutions. If false documentation or intent to misuse funds is established, it is highly likely to lead to criminal liability, such as fraud.”

He also highlighted that the scope of recent investigations is expanding beyond simple misuse of loan funds to include the overall acquisition and use of real estate under corporate names.

Attorney Seo explained, “If a corporation acquires high-value residential property under its name while falsely stating the loan purpose and benefiting from tax advantages, it may lead to tax evasion issues. Furthermore, if such property is used privately by executives or their family members, it could also give rise to charges of breach of fiduciary duty.”

He added, “A single act of regulatory circumvention can escalate from a tax audit and financial sanctions to criminal punishment,” emphasizing that “preemptive inspection and early response are far more critical than reactive measures.”

He further noted, “The government is currently strengthening oversight across overall fund management, including business loans, farmland-backed loans, and real estate acquisitions under corporate names. Delaying response based on the complacent assumption that issues will not arise may result in significant risks.”

Finally, Attorney Seo advised, “It is necessary to proactively review relevant transaction records and fund flows, and systematically organize supporting documentation. In cases where an investigation is already likely, a swift response is key to reducing future tax and criminal liabilities."
