Injunction Blocking a Trust Property Auction Overturned in Full — Objection to Provisional Disposition Succeeds for Asset Trust Company

Case at a Glance

Our client, a real estate asset trust company, was in the process of conducting a public auction of trust property when the former sellers of the property obtained a provisional disposition order prohibiting disposal of the real estate — bringing the auction to a complete halt. The former sellers argued that grounds for terminating the trust agreement had arisen, or alternatively that the trust had ended by operation of law, and sought to exercise the developer's rights of termination and trust property return on a subrogation basis. Law Firm Jinheon conducted a precise analysis of the trust agreement's structure and the applicable provisions of the Trust Act, demonstrated that neither basis for a preserved right was legally sustainable, and secured a decision cancelling the provisional disposition in its entirety and dismissing the application — with all litigation costs ordered against the creditors.

1. Why the Client Came to Law Firm Jinheon

Our client was an asset trust company that had entered into a real estate security trust agreement in connection with a development project, with multiple financial institutions named as first-priority beneficiaries. When the developer defaulted on its obligations to those beneficiaries, our client commenced a public auction of the trust property in accordance with the trust agreement. The former owners of the property — who had sold their interests in it to the developer — then obtained a provisional disposition order prohibiting disposal of the real estate, and the auction was suspended entirely.

The former owners claimed that grounds for contractual termination of the trust had arisen, or that the trust had become impossible to perform, and argued that they could exercise — by way of creditor subrogation — the developer's right to demand termination and the return of the trust property. Our client came to Law Firm Jinheon to have the provisional disposition cancelled and the auction restored.

2. Law Firm Jinheon's Legal Strategy

The central question was whether the creditors' asserted preserved right — the basis on which the provisional disposition had been granted — was legally tenable. The creditors advanced two arguments. First, that grounds for contractual termination of the trust had arisen, entitling them to subrogate the developer's right to demand termination and cancellation of the trust registration. Second, that the trust had terminated by operation of Article 98(1) of the Trust Act, entitling them to subrogate the developer's right to claim the return of the trust property under Article 101(1). Law Firm Jinheon dismantled both arguments.

First, we demonstrated that no grounds for contractual termination of the trust had arisen. Under the trust agreement, termination required the developer to complete all cost settlements and jointly request termination with the priority beneficiaries, or alternatively to reach agreement with the trust company to terminate. The developer was in arrears on its loan obligations to the priority beneficiaries — the preconditions for a valid termination request were nowhere near satisfied. There was no termination right in existence for the creditors to subrogate. Law Firm Jinheon presented this analysis to the court in precise contractual terms.

Second, we built the legal argument that Article 98(1) of the Trust Act did not apply to this situation. The case was not one in which the trust's purpose had been achieved or had become impossible — it was a case in which the trust property was being disposed of during the trust period at the request of the priority beneficiaries, pursuant to a specific provision of the trust agreement. In that scenario, the priority beneficiaries take precedence over the beneficiary in the proceeds of disposal, and once the trust property is being disposed of, there is no basis on which ownership of the property can be returned to the beneficiary. The creditors' asserted right to claim the return of the trust property had no legal foundation in these circumstances. Law Firm Jinheon set out the argument by combining a close reading of the trust agreement's structure with the applicable Trust Act provisions.

3. The Outcome — Provisional Disposition Cancelled, Application Dismissed

The court accepted Law Firm Jinheon's submissions. Finding that neither of the creditors' arguments had produced sufficient evidence of a preserved right, the court cancelled the existing provisional disposition decision in its entirety and dismissed the creditors' application. All litigation costs were ordered to be borne by the creditors.

With the provisional disposition lifted, the suspended public auction could resume, and the pathway to recovery for the priority beneficiary financial institutions was restored.

4. Why This Case Matters — And Why Choose Law Firm Jinheon

Provisional disposition disputes arising within a real estate security trust structure require command of multiple intersecting legal frameworks simultaneously: the detailed terms of the trust agreement, the provisions of the Trust Act, and the requirements of creditor subrogation under civil law. The creditors' arguments were grounded in statutory language and were not without surface plausibility — defeating them required a precise understanding of how all of these elements interact within the specific structure of this trust.

Law Firm Jinheon identified the critical distinction between contractual termination grounds and statutory termination grounds under the Trust Act, recognised that this case fell squarely within the category of disposal at the request of priority beneficiaries rather than trust termination by operation of law, and presented that analysis to the court with the clarity and precision needed to prevail. This is not a conclusion that can be reached without genuine specialist knowledge of real estate, finance, and trust law.

If a public auction or trust enforcement process involving property held under a real estate security trust has been obstructed by a provisional disposition, Law Firm Jinheon has the expertise to analyse the trust structure and mount the legal challenge needed to restore the process.
